MRC Background
- Established October 18, 2000, the MRC is a non-profit 501(c)6 membership association serving payments and fraud prevention professionals globally.
- The MRC Mission is to be the go-to place for eCommerce payment and fraud professionals globally to facilitate networking, education, and advocacy.
- MRC also manages the MRC Foundation, a 501(c) 3 charitable non-profit, established to help educate and collaborate with law enforcement in our industry.
MRC Organizational Structure
- The MRC Global Board of Directors is responsible for the organization's governance, strategic oversight, and fiduciary stewardship. The Global Board approves MRC's annual budget and strategic direction, elects Directors and Officers, and appoints the CEO.
- MRC has three advisory boards: the Americas Advisory Board (AAB), the European Advisory Board (EAB), and the LatAm Advisory Board (LATAM AB). The Reginal Advisory Boards are standing committees of the Global Board and operate in an advisory capacity.
- MRC's CEO is appointed by and reports to the Global Board of Directors. The CEO is responsible for day-to-day management, organizational operations, staff leadership, and execution of the strategic direction and budget approved by the Global Board.
- MRC maintains financial controls and undergoes an annual independent audit. The Global Board exercises financial oversight through its Audit Committee, which is chaired by the Treasurer. MRC's fiscal year runs from July 1 through June 30.
- MRC carries the necessary and appropriate insurance, including Directors and Officers liability insurance, and has personnel policies and financial controls in place.
- MRC has a Board Conflict of Interest Policy which all Directors and Advisors are required to complete.
Global Board of Directors Positions
The MRC Global Board Directors ensure the MRC continues to operate at the highest legal and ethical standards. The Company Directors act as "trustees" of the public for the MRC's actions. The MRC Global Board of Directors is charged with assessing the health of the organization, retains fiduciary responsibility for MRC operations, and participates in the creation and delivery of global long-term strategies and programs.
MRC welcomes nominations from Members in Good Standing for open Global Board positions. The Governance Committee evaluates candidates in accordance with MRC's Director Qualifications Guidelines and presents a recommended slate to the Global Board of Directors. The Global Board is responsible for electing Directors.
Global Board Officers
MRC is now accepting nominations for Chair and Vice Chair (Chair-Elect) of the Global Board of Directors.
These leadership roles are instrumental in supporting effective Board governance, partnering with MRC’s executive leadership, and helping guide the organization’s continued growth and strategic direction.
Candidates will be considered in accordance with the qualifications and expectations outlined in MRC’s approved Director Qualifications Guidelines.
The Vice Chair serves as Chair-Elect, with the expectation of succeeding to the Chair role, subject to confirmation by the Global Board.
Regional Advisory Board Positions
MRC's Regional Advisory Boards serve as advisory bodies to the Global Board of Directors. They provide regional perspectives on member needs, industry developments, advocacy priorities, and opportunities to strengthen MRC's programs and events.
Regional Advisory Board members support MRC through industry expertise, member engagement, networking, and regional representation. They provide recommendations to the Global Board and MRC management but do not have independent authority to make binding decisions on behalf of MRC.
Each Regional Advisory Board is led by two Co-Chairs appointed by the Global Board. Both Co-Chairs participate in Global Board meetings and together hold one joint voting seat on the Global Board.
Regional Advisory Board Co-Chairs serve as the primary liaison between their respective regional boards and the Global Board, providing regular updates and representing regional member perspectives.
